Sekri Valentin Zerrouk’s M&A / Private Equity, Tax and Employment teams advised Collecte Localisation Satellites (CLS) and its management team in connection with MDA Space’s binding offer to acquire a 70% majority stake in CLS. MDA Space, a Canadian company and a trusted partner to the rapidly growing global space industry, submitted the offer for CLS, a leading international provider of space-based solutions dedicated to understanding and protecting the planet and promoting the sustainable management of natural resources.

 

The proposed transaction would create a unique opportunity to establish a highly differentiated, vertically complementary global leader in geointelligence by seamlessly combining MDA Space’s upstream satellite assets and services with CLS’s downstream capabilities in AI-driven analytics, connectivity solutions, applications and proprietary algorithms.

 

Under the proposed transaction, the French National Centre for Space Studies (CNES) would retain an approximately 30% equity interest in CLS.

 

Completion of the proposed transaction remains subject to the completion of the mandatory French employee information and consultation procedures, the execution of the definitive acquisition agreements, and the receipt of the required regulatory approvals. Closing is expected to occur by the end of 2026 or in early 2027.
