Thomas Verdeil specializes in the taxation of acquisitions and sales of companies (M&A, private equity, venture capital, and leveraged buyouts). He advises investment funds, companies, entrepreneurs, and family shareholders on all tax issues relating to their transactions (tax structure, tax due diligence, vendor due diligence) and their shareholdings (monitoring their tax situation, restructuring transactions, and tax litigation).
He also has expertise in the fields of private asset taxation, investment taxation, and tax litigation, and advises company managers during LBOs with respect to the negotiation of the management package.
Mr. Verdeil recently advised the founders and managers of Ciprès Assurance for their second LBO and the majority shareholders of Globe Diffusion for their third LBO.
He also worked on Naxicap Partners’ LBO of the Sud Robinetterie Industrie group (€55 million in revenues), Focal & Naim (€43 million in revenues) and Desk HLF (€150 million in revenues); Capital Export’s LBO of the Celec group (€12 million in revenues).
Thomas studied at New York University School of Law for a year (2009). He assists his clients both in French and English.

Mr. Verdeil lectures at the University of Cergy-Pontoise on LBO taxation, taxation of restructuring transactions, tax implications of LBO transactions for senior executive and shareholders, and taxation of equity investments. He also teaches tax at the ESSEC Business School.
He is a member of the IFA (International Fiscal Association) and the IACF (Institut des Avocats Conseil Fiscaux).
Prior to joining the firm in March 2015, Mr. Verdeil practiced with Freshfields, Bruckhaus, Deringer LLP and Lamartine Conseil, as well as in the legal and tax department of the Nestle Waters group.
